Annual returns are mandatory statutory filings that every company registered with the Corporate Affairs Commission (CAC) must submit each year.
Who Must File Annual Returns?
- All Business Names (sole proprietorships and partnerships)
- All Private Limited Companies (Ltd)

Penalties for Late Filing
The CAC imposes penalties for late or non-filing of annual returns:
- Business Names: ₦5,000 per year of default
- Limited Companies: ₦10,000 per year of default (plus ₦2,500 per day for continuing default)
