Can a Foreigner Own a Company in Nigeria?
Yes, foreigners can participate in the ownership of Nigerian companies, subject to applicable Nigerian laws, regulatory requirements and restrictions that may apply to particular sectors or activities.
The appropriate structure will depend on factors such as:
the nature of your business;
proposed ownership structure;
investment activities;
sector-specific regulations;
whether you will operate physically in Nigeria; and
your long-term commercial plans.
For a foreign investor, the question is not simply “Can I register a company?” but “How should my Nigerian business be structured?”
How to Incorporate a Nigerian Company as a Foreigner
1. Determine the Appropriate Structure
Most commercial ventures requiring a corporate vehicle will consider a private company limited by shares (Ltd), although the appropriate structure depends on the proposed business.
2. Choose and Reserve Your Company Name
Your proposed name is submitted for reservation through the Corporate Affairs Commission (CAC).
3. Provide the Required Corporate Information
This may include information concerning:
shareholders;
directors;
shareholding;
registered office;
business activities; and
beneficial ownership.
Foreign shareholders and directors may also need to provide appropriate identification and supporting documentation.
4. Complete CAC Incorporation
The required incorporation documents and information are submitted through the CAC registration process.
5. Receive Your Corporate Documents
Following successful incorporation, the relevant CAC documents are issued for the Nigerian company.
But incorporation is only the first stage.
What Happens After Incorporation?
Depending on your business, you may need to consider:
Corporate Banking
Opening a Nigerian corporate bank account and satisfying the bank's KYC requirements.
Tax Registration & Compliance
Understanding the company's applicable Nigerian tax obligations.
Regulatory Approvals
Certain industries including core financial services, telecommunications, healthcare and other regulated sectors may require additional licences or approvals.
